Terms of Service

1. These terms are a binding agreement

These Terms of Service ("Terms") form a legally binding agreement between you and MrktBuddy ("MrktBuddy", "we", "us", "our") governing your use of the MrktBuddy Telegram bot, website, PDF briefs, alerts and any related service (together, the "Service"). By creating an account, linking Telegram, or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.

You must be at least 18 years old and legally capable of entering into contracts to use the Service.

2. What the Service is — and what it is not

MrktBuddy is an educational research and data-delivery tool. It aggregates, formats and delivers market information — prices, earnings dates and history, analyst ratings, insider activity, options positioning and similar data — for US-listed securities.

MrktBuddy is NOT: a broker, a dealer, an investment adviser, a portfolio manager, a financial planner, or a regulated financial services firm of any kind. We are not authorised or regulated by the Financial Conduct Authority, the SEC, or any other financial regulator, and the Service is not a regulated activity.

3. No financial advice — ever

• Nothing produced by the Service — alerts, briefs, PDFs, chat replies, charts, scores, summaries, notifications or any other output — constitutes financial, investment, legal, accounting or tax advice, an offer, a solicitation, or a recommendation to buy, sell, hold or otherwise deal in any security or financial instrument.
• All output is automated aggregation and presentation of third-party data. No human at MrktBuddy reviews, endorses or tailors any output to you or your circumstances.
• No fiduciary, advisory or client relationship of any kind is created between you and MrktBuddy by your use of the Service.
• If you need investment advice, consult a person or firm authorised by the appropriate regulator to give it.

4. Your decisions are yours alone — assumption of risk

• You are solely and entirely responsible for every investment or trading decision you make, whether or not it was informed by, prompted by, or made after viewing anything produced by the Service.
• Investing and trading carry significant risk, including sudden, substantial or total loss of capital. Options and earnings-event trading carry heightened risk. Past performance — including historical beat/miss records, analyst accuracy or price behaviour — is not a reliable indicator of future results.
• By using the Service you expressly assume all risk arising from any use of, or reliance on, its output, and you agree that MrktBuddy shall have no liability whatsoever for any trading or investment outcome, loss or missed gain.
• You agree to independently verify any information before acting on it. Data can be delayed, incomplete or wrong (see section 5).

5. Third-party data — we are an intermediary

• The market data delivered by the Service does not originate from MrktBuddy. It is sourced from third-party providers — principally Finnhub — and, where noted, other public sources. MrktBuddy acts solely as an intermediary that retrieves, formats and relays this data to you.
• We do not create, verify, audit or control the underlying data, and we make no representation or warranty of any kind — express or implied — as to its accuracy, completeness, timeliness, sequence or fitness for any purpose. Quotes and other figures may be delayed, estimated, adjusted or erroneous at the source.
• Responsibility for the content of the underlying data rests with the originating provider. Any claim relating to data accuracy lies against the data source, not against MrktBuddy as its conduit.
• All rights in the underlying data remain with the respective providers. Your use of data delivered through the Service is for personal, non-commercial reference only; you may not redistribute, resell, republish or systematically extract it.
• Provider outages, licence changes or errors may interrupt or alter the Service at any time without notice.

6. Your account

• You must provide accurate information, keep your password confidential, and not share your account. You are responsible for all activity under it.
• During the private beta an invite code is required; beta access, features and limits may change or end at our discretion with reasonable notice.
• We may suspend or terminate accounts that breach these Terms, abuse the Service (including automated scraping, quota abuse, attempting to breach security or rate limits), or use it unlawfully.

7. Acceptable use

You agree not to: (a) scrape, harvest or bulk-extract data from the Service; (b) resell, sublicense or redistribute the Service or its output; (c) reverse engineer or attempt to access non-public parts of the Service; (d) use the Service to violate any law or the rights of any person; (e) interfere with the operation or security of the Service; or (f) misrepresent Service output as advice from MrktBuddy to any third party.

8. Intellectual property

The MrktBuddy software, design, branding, report formats and generated documents are our property or licensed to us. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service and its output for personal, non-commercial purposes. Underlying market data remains the property of its providers (section 5).

9. Subscriptions and billing (from launch)

• Pro is a paid subscription billed by Stripe, monthly or annually, at the price displayed at checkout. We never see or store your card details.
• Subscriptions renew automatically until cancelled. You can cancel anytime in the billing portal; access continues to the end of the period already paid. Your statutory consumer rights, including any applicable cooling-off rights, are unaffected.
• Beta testers receive Pro features free during the beta and will get at least 30 days' written notice before any billing begins.
• Prices may change with at least 30 days' notice; changes apply from your next renewal.

10. Service availability — beta software

The Service is provided "as is" and "as available", and is in active development. We do not guarantee uninterrupted availability, error-free operation, or the continued existence of any feature. Alerts and notifications are delivered on a best-effort basis and may be delayed or missed — do not rely on them for time-critical decisions. To the fullest extent permitted by law, all implied warranties (including satisfactory quality and fitness for purpose) are excluded.

11. Limitation of liability

• To the fullest extent permitted by law, MrktBuddy shall have no liability whatsoever for: any trading or investment loss; loss of profits, revenue or opportunity; loss or corruption of data; or any indirect, incidental, special or consequential loss — however arising, whether in contract, tort (including negligence), breach of statutory duty or otherwise, and even if we were advised of the possibility of such loss.
• Our total aggregate liability to you for all claims arising out of or relating to the Service shall not exceed the greater of (a) the amounts you paid us in the 12 months preceding the claim, or (b) £50.
• Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

12. Indemnity

You agree to indemnify and hold MrktBuddy harmless from any claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right in connection with the Service.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate the Service or your access to it for breach of these Terms, for legal or security reasons, or on reasonable notice if we discontinue the Service. Sections 3, 4, 5, 8, 11 and 12 survive termination.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced in the app or by message at least 14 days before taking effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms. If you do not accept them, you must stop using the Service.

15. Governing law and disputes

These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any dispute arising from them or the Service — except that consumers resident elsewhere retain any mandatory protections and forum rights of their home jurisdiction.
